Terms of Use — Bina Production

These Terms of Use ("Terms") govern access to and use of Bina Production(the "Service"), a private software application operated by BINA .CX LLC("we", "us", "Bina"). By accessing or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.

1. The Service is private and internal

Bina Production is an internal, server-side advertising operations tool. It is not a consumer product. There is no public sign-up, no self-service registration, and no login available to the general public. Access is limited to our authorized personnel and to systems we operate for the purpose of managing advertising campaigns on Meta platforms.

Nothing in these Terms grants any member of the public a right of access to the Service.

2. Authorized users

You may use the Service only if we have expressly authorized you to do so as an employee, contractor, or automated system acting on our behalf. Authorized users must:

  • use the Service solely for our legitimate business purposes;
  • keep access credentials and access tokens confidential and never share them;
  • use only credentials issued to them, and not attempt to access accounts or data belonging to others; and
  • promptly report any suspected compromise of credentials or unauthorized access.

3. Advertiser accounts and authorization

The Service manages advertising campaigns in advertising accounts that we own or that an advertiser has expressly granted us access to through Meta Business Manager. We act on an advertiser's behalf only within the scope of the permissions that advertiser has granted, and only for the advertising services agreed with that advertiser.

An advertiser may withdraw our access at any time by removing our business or system user permissions from their advertising account in Meta Business Settings. Doing so immediately ends the Service's ability to access that account.

4. Compliance with platform terms

Use of the Service involves the Meta Marketing API. All use of the Service must comply with the applicable Meta terms and policies, including the Meta Platform Terms, the Meta Developer Policies, and the Meta Advertising Standards, in addition to these Terms. Where these Terms conflict with a Meta term or policy, the Meta term or policy controls with respect to the Meta platform.

5. Acceptable use

You must not, and must not attempt to:

  • use the Service to create, publish, or distribute advertising that violates applicable law or Meta's advertising policies;
  • circumvent, disable, or interfere with any rate limiting, throttling, approval step, logging, or other safety control built into the Service;
  • use the Service to access advertising accounts or business assets we are not authorized to access;
  • reverse engineer, decompile, copy, resell, sublicense, or make the Service available to any third party;
  • introduce malicious code, or use the Service in a way that could damage, disable, or impair it or any connected platform; or
  • use the Service to collect, store, or process personal information in a manner inconsistent with our Privacy Policy.

6. Human review of campaigns

The Service creates advertising objects in a paused state. Advertising is activated only after review by an authorized person. Authorized users are responsible for reviewing campaign configuration, targeting, budgets, and creative before activating any campaign.

7. Intellectual property

The Service, including its software, structure, and documentation, is owned by BINA .CX LLCand is protected by intellectual property laws. No rights are granted except the limited right of authorized users to use the Service as described in these Terms. All trademarks, including "Meta", "Facebook", and "Instagram", are the property of their respective owners.

8. Confidentiality

Advertising account data, campaign performance data, client information, and access credentials accessible through the Service are confidential. Authorized users must not disclose such information to any third party except as required to perform their duties or as required by law.

9. No affiliation with Meta

Bina Production is not created by, affiliated with, sponsored by, or endorsed by Meta Platforms, Inc. We use the Meta Marketing API as an independent developer under Meta's terms.

10. Privacy

Our handling of information in connection with the Service is described in our Privacy Policy, which forms part of these Terms.

11. Availability and changes

We may modify, suspend, or discontinue the Service, in whole or in part, at any time and without notice. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free.

12. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant any particular advertising result, delivery outcome, cost per result, or return on advertising spend.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BINA .CX LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. Our total aggregate liability arising out of or relating to the Service will not exceed the amount paid to us, if any, for the Service in the twelve months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless BINA .CX LLC and its officers, employees, and agents from any claim, loss, liability, or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right.

15. Termination

We may suspend or terminate access to the Service at any time, with or without cause and with or without notice. Sections 7, 8, 9, and 12 through 17 survive termination.

16. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. The exclusive venue for any dispute arising out of or relating to these Terms is the state and federal courts located in Los Angeles County, California, and you consent to the jurisdiction of those courts.

17. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by a revised "Last updated" date at the top of this page. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
